                UPDATE: Audi’s Board of Directors has announced its approval of the acquisition of Ducati.

  According to reports, Audi has finished its acquisition of Ducati Motor Holdings, to the tune of ?860 million ($1.128 billion), and will announce the purchase tomorrow at is annual shareholders meeting. The deal reportedly sees Audi, through its parent company the Volkswagen Group, acquiring Ducati for roughly seven times what it earned in revenue last year, but Audi is also assuming all of Ducati’s debt, which has been rumored as high as ?200 million, making the revenue multiple significantly smaller.

  Audi had until April 15th to exclusively talk to Investindustrial about acquiring the company’s 70% stake in Ducati, and with that deadline passing, talk of another purchaser joining the acquisition deal began to rumble from the media. With Investindustrial’s Andrea Bonomi vaguely hinting that this week would be an important week for the negotiations, it would seem the Italian businessman was hinting at the closure of the deal, and not a second party entering the fray as many publications had thought.

  The deal has been a journey for VW Chairman Ferdinand Piech, who was a bidder on Ducati in 2008 when it was sold to Investindustrial. Typically regarded as an aspirational acquisition target, financial analysts are not too bullish on hearing news of the deal. With the Volkswagen Group still facing challenges in its ownership of Porsche and some of its other brands, adding Ducati’s relatively small income to the consortium will do little financially, while there is debate over whether the Italian motorcycle manufacturer brings anything to the table from an engineering perspective.

  For Ducati the road has been an interesting one, as Ducati’s first suitor was AMG (read: Mercedes-Benz), and while Ducati was keen to sell to the german sport car manufacturer, the Stuttgart natives were reportedly less enthusiastic about the idea. Though AMG and Ducati didn’t enter into a shotgun wedding, the two parties did have a quick torrid affair that resulted in the two companies sharing their marketing efforts, which included the creation of the Ducati Diavel AMG. With the romance reportedly ending late last year, Ducati continued to flirt across the bar with several other brands, and even sent some very ouvert signals with the mentioning of a private offering and the rumor of a public listing on the Hong Kong stock index.

  With those outcomes clearly not occurring, we dare say that Ducati is finding a more stable home within Audi and the Volkswagen Group. Providing access to capital and experience manufacturing on a global scale, the German company has a lot to offer Ducati, and has shown with its work on Lamborghini, that it knows how to handle an iconic Italian brand. For Ducatisti around the globe, the one fear that may come true from this deal is the increased production of Ducati motorcycles outside of Italy, which quite frankly is one of the best business moves the company could make in an effort to establish itself as a profitable and secure motorcycle marque. How that will go over with brand stakeholders remains to be seen though.

  As expected from yesterday’s news, Audi’s Board of Directors has approved the German car company’s acquisition of Ducati Motor Holding. While the grumblings from Ducati owners have already emerged over the news breaking yesterday, in reality the move is a boon for Ducati, which will receive access to an almost limitless bank account, global business expertise, and advanced manufacturing techniques.

  Selling 42,000 motorcycles last year, Ducati has typically struggled to sell more than 30,000 units annually, a figure which is highly regarded as the Italian company’s break-even point. Historically selling under that amount, Ducati has racked up considerable debt from its operation, hence why nearly a quarter of the company’s purchase price is going to its outstanding financial liabilities.

  For Ducati owners and Ducati fans around the world, the acquisition by Audi and the Volkswagen Group should be met with more resounding praise, as it means an increased layer of stability has been added to the Italian brand. While the hyperbole has been flowing online, we imagine that the first motorcycles sales success to come from the company post-acquisition will silence any resistance to the company’s new German ownership.

  As irrelevant as that metric actually is in business terms, the reality is that Audi’s influence over Ducati will take several years to be fully realized, as it takes a considerable amount of time for new products to come to market, and business plans to be implemented.    April 18, 2012 – International Motorcycles S.p.A, a subsidiary of the Investindustrial Group (“Investindustrial”), has today agreed to the sale of Ducati Motor Holding S.p.A (“Ducati”) to Audi AG, part of the Volkswagen Group. The acquisition is subject to antitrust clearance.
Ducati, founded in 1926 and based in Borgo Panigale (Italy), is a leading motorcycles designer and manufacturer which boasts a rich racing heritage in the MotoGP World Championship and the Superbike World Championship.

  In 2011, Ducati sold 42,200 units, resulting in an 11% global market share, and generated revenues of ?480 million at the best-in-class profitability.
   Since the acquisition by Investindustrial in 2006, Ducati has been turned around with great success into one of the best and most profitable motorcycle brands in the world. The company successfully launched a globalisation process which led the company to open a factory in Thailand in 2011 and to expand into new fast growing markets, such as Brazil, China and India. As of today, 80% of Ducati’s sales come from foreign markets and at the end of 2011 the Group recorded the highest turnover and EBITDA in its history.

  The creation of industrial value is demonstrated by strong growth across the company: under Investindustrial’s ownership, Ducati’s revenues grew from ?305 million in 2006 to ?480 million in 2011, EBITDA rose from ?27 million in 2006 to ?94 million in 2011 and resulted in positive EBIT of ?51 million from ?5 million in the year of the acquisition. The number of employees increased from 1,043 in 2006 to 1,135 in 2011.

  In recent years, under the guidance of the management team, led by CEO Gabriele Del Torchio, Ducati has also developed the most exciting and up-to-date product range in its history by launching 17 new models including the Multistrada 1200 in 2010, the Diavel in 2011 and more recently the Panigale superbike. These achievements have contributed to a significant increase in motorcycle sales, rising from 35,300 in 2006 to 42,200 at the end of 2011.

  Ducati also achieved great success in the world of racing: in Super Bike, Ducati won 4 Riders World titles (2006, 2008, 2009 and 2011) and 3 Constructors World titles (2006, 2008 and 2011) and a total of 68 wins. In MotoGP, Ducati won 28 races, a Riders World title and a Constructors World title in 2007. Andrea C. Bonomi, Chairman of Investindustrial commented:

  Hospitals of Ontario Pension Plan, a leading Canadian investor and BS Investimenti, also sold their stakes in Ducati to Audi AG.

This news means that Audi not only bought out the 70% ownership of Investindustrial, but also the 30% remainder that was held by private equity fund BS, the Hospitals of Ontario Pension Plan, and other minority shareholders.

Unsurprisingly, this also means that Audi has assumed all of Ducati’s financial liabilities, estimated to be in the ?180 million to ?200 million range. This adjusts Audi’s valuation of Ducati to somewhere just shy of $1 billion, likely in the $850 million to $900 million range, which is considerably less than the $1.3 billion valuation Investindustrial placed on Ducati earlier this year.

Converting into euros instead of dollars, the valuation of Ducati Motor Holding’s business comes out to be ?650 million to ?685 million, which is a tidy sum for a company that did only ?480 million in revenue last year. Some gorilla math pegs this purchase price multiple at around 1.5x Ducati’s revenues, a tad higher than the .9x multiple typically seen in manufacturing, though inline with assessments of Ducati’s intangible brand value.

According to Investindustrial, Ducati posted earnings before interest and taxes of only ?51 million, a stark contrast to the ?5 million the company was earning when Investindustrial first took ownership of the Italian brand. This figure largely is due to the fact that Ducati had a break-out year, and old over 42,000 motorcycles in 2011, which helps the Italian motorcycle manufacturer account for 11% of the over-600cc market.

With European anti-trust regulators not expect to stop the acquisition, this week marks the starting point for Audi’s ownership of Ducati. It will be interesting to see what the German brand can do with its new Italian motorcycle company, both strategically and financially.
